These General RitBiz For Business Platform Terms (these “Terms”) are entered into between you, as a user of the Services (defined below) and the business or corporate entity that has made access available to you according to these Terms, which you represent and warrant you have authority to bind to these Terms (collectively, “you”, “your” or “Customer”); and the Starchy contracting entity (“we”, “our” or “RitBiz”). An individual may only access the Services is used by such individual as a business, and not in an individual's capacity.
These Terms set forth the terms and conditions concerning your participation in our advertising platform and services that are made available to you through the account(s) given to you according to your agreement to these Terms including, without limitation, RitBiz For Business Ads Manager, RitBiz For Business Business Center, (collectively the “RitBiz For Business Platform” or the “Services”,) and may be incorporated into a separate advertising agreement between us regarding your use of the RitBiz For Business Platform. Depending on the RitBiz contracting entity, there may be separate supplemental terms relating to your participation in the RitBiz For Business Platform, as outlined in the relevant “Supplemental Terms – Jurisdiction-Specific” section below, in which case you also hereby agree to such Supplemental Terms – Jurisdiction-Specific. In the event of a conflict between the provisions of the Supplemental Terms – Jurisdiction-Specific and the rest of these Terms, the relevant Supplemental Terms – Jurisdiction-Specific will supersede and control concerning your use of the For Business Platform.
If you have not signed up as a user of the Services through the designated portal of RitBiz For Business Platform, then, in addition to these Terms, the RitBiz Ads Program Terms and the RitBiz Ads Platform Payment Terms (the "Self-Registration Terms") shall apply. In the event of a conflict between the provisions of the Self Registration Terms and the rest of these Terms, the Self Registration Terms will supersede and control concerning your use of the RitBiz For Business Platform.
Please read carefully as you must accept these Terms before proceeding to use the RitBiz For Business Platform. You accept these Terms by accessing or using the RitBiz For Business Platform. You understand and agree that, from that point onwards, we will treat your access to or use of the Starchy RitBiz For Business Platform as acceptance of the Terms, including by the business or corporate entity that made access available to you according to these Terms. That business or corporate entity is legally and financially responsible for your access to and use of the Starchy RitBiz For Business Platform as well as for the use of your account by others affiliated with such business or corporate entity, including any employees, agents, or contractors.
Users of the RitBiz For Business Platform must be over 18 years old.
1. Ad Materials.
You hereby grant us and our affiliates the right to use, display, and place any advertising materials, data, and/or content, including, without limitation, photos, text, sound, and videos (collectively, “Ad Materials”) that you submit, upload or otherwise provide through the RitBiz For Business Platform in connection with the placement of your Ads. We may review your Ad Materials before placing such Ad Materials; however, you are solely responsible for all Ad Materials, Ads, trafficking, and targeting decisions concerning the Ads, any website or redirects to which Ads direct viewers, and all products and services offered or advertised. We may reject or remove Ad Materials or Ads at any time for any or no reason.
2. Use Restrictions.
You may not (a) to the greatest extent permitted under applicable law, modify, adapt, translate, reverse engineer, disassemble, decompile or create any derivative works based on the RitBiz For Business Platform, including any files, tables or documentation (or any portion thereof) or determine or attempt to determine any source code, algorithms, methods or techniques embodied the RitBiz For Business Platform or any derivative works thereof; (b) distribute, license, transfer or sell, in whole or in part, any of the RitBiz For Business Platform or any derivative works thereto; (c) interfere with or attempt to interfere with the proper working of the RitBiz For Business Platform, disrupt our website or any networks connected to the RitBiz For Business Platform, or bypass any measures we may use to prevent or restrict access to the RitBiz For Business Platform; (d) incorporate the RitBiz For Business Platform or any portion thereof into any other program or product; (e) impersonate any person or entity, or falsely state or otherwise misrepresent you or your affiliation with any person or entity, including giving the impression that any content you upload, post, transmit, distribute or otherwise made available emanates from the RitBiz For Business Platform; (f) upload or transmit any files that contain viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful; (g) use the RitBiz For Business Platform in a manner that infringes any patent, trademark, copyright or other proprietary rights; (h) use the RitBiz For Business Platform in a manner that would violate any applicable laws; (i) access or use the RitBiz For Business Platform from jurisdictions where the contents or practices of the RitBiz For Business Platform are illegal, unauthorized or penalized is strictly prohibited; or (j) use, display, upload, modify, publish, transmit, update, share or store any Ad Materials on the Starchy For Business Platform which: (i) is harmful, harassing, blasphemous, defamatory, obscene, obscene, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever; (ii) harms minors in any manner; or (iii) deceives or misleads the addressee of the origin of such messages or communicates any information which is grossly offensive or menacing in nature. Failure to comply may result in a variety of consequences, including the cancellation of Ads you have placed and termination of your account.
3. Ads.
We will determine the size, placement, and positioning of your Ads. We cannot control how clicks are generated on your Ads. We have systems that attempt to detect and filter certain click activity, but we are not responsible for click fraud, technological issues, or other potentially invalid click activity that may affect the cost of running Ads. We do not commit editorial or content adjacency or competitive separation for Ads. Ads may run on or next to un moderated user-generated content. You warrant that all Ads (or any product or service which an Ad promotes), will adhere to (a) all applicable law, rules, regulation, advertising standards, or codes of practice issued by a competent authority in the jurisdiction in which the particular campaign is selected to run, including jurisdiction-specific Digital Advertising Self-Regulatory Principles; and (b) RitBiz's Ads Creative Policy, Industry Entry Policy and the Community Guidelines.
4. Representations and Warranties.
You hereby represent and warrant to us that (a) you hold all necessary rights to the Ad Materials to grant us, our affiliates, and third-party partners the right to use such Ad Materials to operate the RitBiz For Business Platform, (b) all information and authorizations provided by you are complete, correct and current; and (c) you possess all the required permits and licenses to conduct the business advertised in your Ad Materials. As a condition of your access to and use of the RitBiz For Business Platform, you agree not to use the RitBiz For Business Platform to infringe any intellectual property rights, for example uploading or sharing copyrighted material of a third party without their consent. We reserve the right, with or without notice, at any time and in our sole discretion to block access to and/or terminate the accounts of any user who infringes or is alleged to infringe any copyrights or other intellectual property rights.
5. Personal Data.
We will process any personal data submitted as part of account registration ("Account Data") and any personal data included in advertising content, such as photos, text, and videos you upload to the RitBiz for Business Platform ("Add Data") according to the RitBiz For Business Privacy Policy. You represent and warrant that you will only upload Ad Data to the RitBiz For Business Platform to the extent that: (a) your collection, use and uploading to the RitBiz For Business Platform of the Ad Data, and the use by you and us of the Ad Data on the RitBiz For Business Platform as envisaged by these Terms, comply with applicable laws and regulations (including, without limitation, (including, where applicable, to the individual to which such Ad Data relates) to enable us to use the Ad Data for the purposes set out in these Terms; (b) you are not subject to any laws or regulations, which prevent or place any restrictions on the collection, use and/or uploading to the RitBiz For Business Platform of the Ad Data, and/or on the use by you and us of the Ad Data on the RitBiz For Business Platform as envisaged by these Terms.
If you send us Business Products Data through your use RitBiz Business Products or authorize any third party to use any RitBiz Business Products (both as defined in the RitBiz Business Products (Data) Terms), use of the Business Products Data shall be governed by the terms of RitBiz Business Products (Data) Terms. If there is any conflict between the terms of the RitBiz Business Products (Data) Terms and these Terms, the terms of the RitBiz Business Products (Data) Terms shall prevail to the extent of such conflict.
6. Third-Party Ads.
If you are placing ads on someone else’s behalf, you represent and warrant to us that you have the authority to place Ads for such other party and to bind the advertiser to these Terms. You also agree that if the advertiser breaches these Terms, we may hold you liable for such breach.
9. Cancellations.
Unless otherwise specified, you may cancel an Ad through your dashboard on the RitBiz For Business Platform or by notifying us via your designated ads sales representative. However, your Ad may run for 24 hours after you notify us and you are responsible for any payment for the Ads that run.
7. Payments.
Unless otherwise specified, all payments made by you to us in connection with your use of the Starchy RitBiz For Business Platform will be made according to the terms and payment methods. You agree to pay all amounts applicable to each Ad you place (or direct us or our affiliates or third party partners to place), along with any applicable taxes. The amount you owe for each Ad will be calculated based on our tracking mechanisms. If your payment method fails or your account is past due, we may take additional steps to collect past due amounts. You will pay all expenses associated with such collection, including reasonable attorneys' fees. Past due amounts will accrue interest at 1% per month (12% per annum) or the lawful maximum, whichever is less.
8. Ownership and Content.
Ownership of the Services. The Services and their content, including their “look and feel” (e.g., text, graphics, images, logos), proprietary content, information, and other materials, are protected under copyright, trademark, and other intellectual property laws. Other than concerning Your Content (as defined below), you agree that RitBiz and/or its licensors own all right, title, and interest in and to the Services (including all intellectual property rights therein) and you agree not to take any action(s) inconsistent with such ownership interests. We and our licensors reserve all rights in connection with the Services and its content (other than Your Content), including, without limitation, the exclusive right to create derivative works.
Your Content License Grant. In connection with your use of the Services, you may be able to post, upload, or submit content to be made available through the Services (“Your Content”). As a condition of your use of the Services, you grant us a nonexclusive, perpetual, irrevocable, royalty-free, transferable, sub licensable license to access, use, host, cache, store, reproduce, transmit, display, publish, distribute, modify and adapt and create derivative works (either alone or as part of collective work) from Your Content. As part of the foregoing license grant you agree that (a) the other users of our Services shall have the right to comment on and/or tag Your Content and/or to use, publish, display, modify or include a copy of Your Content as part of their use of the Services, and (b) we have the right to make any of Your Content available to third parties, so that those third parties can distribute, make derivative works of, comment on and/or analyze your Content on other media and services (either alone or as part of collective work); except that the foregoing (a) and (b) shall not apply to any of Your Content that you post privately for non-public display on the Services. By posting or submitting Your Content through the Services, you represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, power, and/or authority necessary to grant the rights granted herein for Your Content. You agree that Your Content will not contain material subject to copyright or other proprietary rights unless you have the necessary permission or are otherwise legally entitled to post the material and to grant us the license described above.
9. DISCLAIMER.
YOUR ACCESS TO AND USE OF THE STARCHY FOR BUSINESS PLATFORM ARE AT YOUR OWN RISK. WE DO NOT GUARANTEE THE REACH OR PERFORMANCE THAT YOUR ADS WILL RECEIVE, SUCH AS THE NUMBER OF PEOPLE WHO WILL SEE YOUR ADS OR THE NUMBER OF CLICKS YOUR ADS WILL GET. THE RITBIZ FOR BUSINESS PLATFORM IS PROVIDED “AS IS” AND WE MAKE NO WARRANTY OR REPRESENTATION TO YOU CONCERNING IT. IN PARTICULAR, WE DO NOT REPRESENT OR WARRANT TO YOU THAT: (A) YOUR USE OF THE RITBIZ FOR BUSINESS PLATFORM WILL MEET YOUR REQUIREMENTS; (B) YOUR USE OF THE STARCHYFOR BUSINESS PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE FROM ERROR; AND (C) DEFECTS IN THE OPERATION OR FUNCTIONALITY OF ANY SOFTWARE PROVIDED TO YOU AS PART OF THE RITBIZ FOR BUSINESS PLATFORM WILL BE CORRECTED. NO CONDITIONS, WARRANTIES, OR OTHER TERMS (INCLUDING ANY IMPLIED TERMS AS TO SATISFACTORY QUALITY, FITNESS FOR PURPOSE) APPLY TO THE RITBIZ FOR BUSINESS PLATFORM EXCEPT TO THE EXTENT THAT THEY ARE EXPRESSLY SET OUT IN THESE TERMS OR THE IO. WE MAY CHANGE, SUSPEND, WITHDRAW OR RESTRICT THE AVAILABILITY OF ALL OR ANY PART OF THE RITBIZ FOR BUSINESS PLATFORM FOR BUSINESS AND OPERATIONAL REASONS AT ANY TIME WITHOUT NOTICE.
10. Applicable Law, Jurisdiction.
Unless otherwise specified, these Terms shall be governed by the laws of India. Any disputes arising hereunder shall be finally settled by arbitration in India under the arbitration rules of India.
11. No Waiver.
Our failure to insist upon or enforce any provision of these Terms shall not be construed as a waiver of any provision or right in these Terms.
12. Security.
We do not guarantee that our RitBiz For Business Platform will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programs, and platform to access our Starchy For business platform. You should use your virus protection software.
13. Severability.
If any court of law, having jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms, and the remaining provisions of the Terms will continue to be valid and enforceable.
14.If you are using the RitBiz For Business Platform in India, (a) threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or is insulting any other nation, or (b) promotes or advertises pre-natal sex determination services.

Any notice, request, consent, waiver, or other communication required or permitted hereunder shall be effective only if it is in writing and shall be deemed received by the Party to which it is sent by the registered email address.

Ritbiz Ads Platform Payment Terms
1.Terms of Transactions.
It’s your sole responsibility to understand the details of your transactions on RitBiz Ads Platform, including but not limited to the transaction prices. RitBiz may, at its sole discretion, provide you additional payment terms with respect to a specific transaction. You agree that such terms constitute part of these Terms and govern that transaction upon your confirmation.
2. Payment methods.
Subject to availability of payment methods on RitBiz Ads Platform, you may fund your transaction on RitBiz Ad Platform by any upi,credit cards and debit cards, and/or other payment methods requested acceptable to Starchy from time to time.
3.Fees.
The fees incurred in connection with the Ads placed through RitBiz Ads Program are calculated based on the billing criteria under the applicable programs under the RitBiz Ads Program.
4. Refund.
Advertiser balances are refundable upon account closure except when in RitBiz sole discretion, Advertiser’s account is suspected as any policies violations, including but not limited to Starchy Advertising Policies-Ad Creative and Starchy Advertising Policies- Industry Entry. Unless otherwise agreed by RitBiz, any refund shall be made in the agreed billing. Bank transaction fee shall be borne by Advertiser.
5. Technical difficulties.
If you experience a technical failure or interruption of service that causes your payment to fail, you may request that your transaction be completed at a later time.
Prohibited
*Ads promoting precious metal trading, crypto currency-related products, or services.
*Ads promoting prescription drugs, healthcare products that may contain unsafe or harmful ingredients.
*Ads promoting all direct and indirect advertising of tobacco products in all media.
*Ads promoting magic remedies.
*Ads promoting alcoholic beverages, bars, and any other alcoholic products or services. Direct or indirect advertisements for promoting the production, sale, or consumption of wine, liquor, or others into
I cants are not allowed. However, surrogate advertising (such an advertisement must not make any direct or indirect reference to the prohibited or re-restricted products) is permissible.
*Ads promoting lotteries, pokers, and rummy.
*Ads promoting prize chits and money circulation schemes.
*Ads promoting infant food and mother's milk substitute.
*Ads for prenatal determination of sex.
*Ads promoting legal services.
*Ads promoting physicians. Physicians are not allowed to advertise their services in any form or manner of advertising through any mode, as soliciting of patients directly or indirectly, by a physician, by a group of physicians, or by institutions or organizations is unethical.
Restricted
*Financials Services Ads that promote the following financial services:
credit card, loans, securities, and fintech must
comply with relevant laws and regulations and
be licensed by regionals authority. Ads may also
need to target 18+ only.
Pharmaceuticals, Healthcare, Medicines
*Ads that promote over-the-counter drugs, medical devices, and other medical products or services including online pharmacies should comply with relevant laws and regulations. Approval
from central or state authority is required.
Food & Drinks
*Ads for food products must accurately describe
the qualities and characteristics of a food
product, including any associated health and nutritional claims. Food products that contain illegal ingredients or harmful human bodies are prohibited from being promoted.
Dating Applications or Services
*Ads that promote dating applications or services must target 18+. Such ads must not be overtly sexual or reference transactional companionship or cheating, etc. Dating ads should not be sexually suggestive (e.g., focusing on bodies, sexual language or innuendo, etc.)
Fantasy Sports
*Ads that promote fantasy sports should not deliver in the following states: Assam, Odisha, Nagaland, Sikkim, or Telangana. Such ads must target 18+ only and disclose proper "Terms & Conditions".
